Photo credit ↓Viatris agreed to acquire Pacira BioSciences, adding EXPAREL and ZILRETTA to its portfolio of non-opioid pain medicines. The transaction creates a larger commercial platform for Pacira’s marketed products, but its value depends on closing and on Viatris expanding their reach.
Viatris said it agreed to acquire Pacira BioSciences, whose marketed medicines include EXPAREL and ZILRETTA. The products are patent-protected and described as high-margin medicines in the U.S.; Viatris plans to use its international infrastructure and expand its U.S. innovative-medicines commercial, market-access and medical-affairs operations around them.
Pacira reported 2025 revenue of $726.4 million, up 3.6% year over year, with diluted EPS of $0.16 and a 1.0% net margin. The transaction would move those products into Viatris’ broader commercial organization, while the deal’s completion and terms remain central to the outcome.
Our take
1 / 6The transaction gives Pacira’s two marketed medicines access to Viatris’ commercial and international infrastructure, but the near-term read depends on execution and the economics of the acquisition. Pacira’s 2025 revenue was $726.4 million with a 1.0% net margin, so the strategic rationale is clearer than the immediate earnings effect; the next quarterly results should show whether product demand and integration are translating into operating performance.
The read fails if the acquisition does not close or if Viatris cannot expand EXPAREL and ZILRETTA sales without eroding their economics.
Viatris can use its established infrastructure to broaden two patent-protected products beyond Pacira’s existing commercial reach, building on Pacira’s $726.4 million of 2025 revenue.
Pacira’s 2025 revenue grew only 3.6% and its net margin was 1.0%, leaving limited evidence that the products will quickly deliver the high-margin growth Viatris expects.
