The common stock is priced at $64 per share, while the pre-funded warrants are priced at $63.999 each.
The financing combines immediate equity issuance with long-dated convertible debt. The notes carry a 1.50% coupon and mature in 2032, giving Vaxcyte access to capital at a stated interest cost while preserving a potential future share-conversion obligation.
The proceeds are tied to a clinical-stage vaccine developer whose value depends on advancing its development programs and ultimately commercializing a product.
